I have a preinstalled version of dell OEM and some frend told me that OEM is not a complete version of windows... what's the difference?

It's the whole OS, however, Dell gets it alot cheaper then if you were to buy it in the store because there are no expensive retail boxes, and any support questions go through Dell not Microsoft.
Also the disc may be only able to be installed on Dell machines only, but no matter what copy of windows you buy your only entitled to install it on one machine

It is a complete version, the difference between OEM and stand alone is a retail copy is considered a "full version" and has a full license, meaning you can install it on any machine, an OEM copy is a specially licensed copy for a specific machine. It's all about licensing, not completeness.
